Foreigners entering the US market need specialist legal advice. Why? Well the types of entities, their ownership structure, royalty and trademark rights, licensing fees, transfer pricing, executive control and a myriad of other matters have to be dealt with differently from American owned businesses. Additionally, Americans tend to know America. It is partly the job of an attorney to make the foreign investor aware of the special circumstances which exist in the USA and the differences from their home country. Of course, this also applies to accountants and consultants.

Fees

Services are usually provided on a time basis. Services should be performed, subject to pre-agreed contracts stating hourly fees and estimated total charges. In certain cases, fixed fee contracts will be entered into. The hourly rates should be competitive for the services rendered.

In certain cases American attorneys work on a contingency basis (“no win - no pay”). This is usually where there is the possibility of multi-million dollar awards or for debt collection. In such cases the attorneys will sometimes work on the basis of a percentage of the damages awarded.
